Lourenco Goncalves , , , Chairman, President, and CEO

Lourenco Goncalves has been Chairman, President and Chief Executive Officer of Cleveland-Cliffs since August 2014. He designed and led the company through a major strategic initiative transforming Cliffs into a leading player in the U.S. steel industry, starting with a complete financial turnaround, followed by growth initiatives in the metallics market and the entry into the steel business. In 2017, Cliffs started the construction in Toledo, Ohio of the world’s most modern Direct Reduction plant, which started operations in November 2020. Mr. Goncalves led the acquisition of AK Steel in March 2020, followed by the acquisition of ArcelorMittal USA in December 2020. With these two major acquisitions, Cleveland-Cliffs is now the largest flat-rolled steel company and the largest iron ore pellet producer in the United States and in North America, holding an industry-leading market position in automotive steel. With the Toledo plant, Cleveland-Cliffs became the sole producer in the Great Lakes region of hot briquetted iron (HBI), an environmentally friendly metallic feedstock designed to reduce GHG emissions.

Prior to Cleveland-Cliffs, Mr. Goncalves served as Chairman of the Board, President and Chief Executive Officer of Metals USA Holdings Corp., a leading American manufacturer and processor of steel and other metals, for over 10 years. Prior to Metals USA, Mr. Goncalves served as President and Chief Executive Officer of California Steel Industries, Inc. for 5 years. Prior to that, he was employed by Companhia Siderúrgica Nacional (CSN), a major steel and mining company in Brazil, where he held several positions in operations and sales. From October 2011 to April 2014, Mr. Goncalves was a board member of Ascometal SAS, a manufacturer of special steel headquartered in Paris, France.

Mr. Goncalves is a Distinguished Member and Fellow of the Association for Iron & Steel Technology (AIST). Mr. Goncalves currently serves on the Board of the American Iron and Steel Institute. In 2019, he was the recipient of the Crain’s C-Suite CEO award for his contributions, community commitments and outstanding professional performance in Northeast Ohio.

Mr. Goncalves earned a Master of Science degree in Metallurgical Engineering from the Federal University of Minas Gerais in Belo Horizonte, Brazil, and a Bachelor’s degree in Metallurgical Engineering from the Military Institute of Engineering in Rio de Janeiro, Brazil.

Clifford T. Smith , , , Executive Vice President, Chief Operating Officer

Mr. Smith has executive oversight for the Company’s operations, commercial sales, research and innovation, and business development. In his role, he leads the execution of the Company’s strategy across the organization, and is focused on driving excellence, innovation and growth opportunities for the business. In 2020, Mr. Smith played a key role the acquisitions of AK Steel and ArcelorMittal USA, as the company became the largest flat-rolled producer of steel in the United States.

Prior to his present role, he was Executive Vice President, Business Development and had leadership for developing emerging business opportunities to grow Cleveland-Cliffs’ U.S. domestic market. He served as Executive Vice President, Seaborne Iron Ore where he had oversight for the Company’s former international operations in Australia and Canada. Mr. Smith has also held various senior management positions within Cleveland-Cliffs including Vice President of Cliffs Michigan operations, Vice President of Latin American Operations and Senior Vice President of Business Development.

During his career, Mr. Smith held mine management positions with Asarco, Southern Peru Copper Corporation, and Amax Coal. He received a BSc in mining engineering from the South Dakota School of Mines and Technology.

Keith A. Koci , , , Executive Vice President, Chief Financial Officer

Mr. Koci has executive responsibility for Finance, Accounting, Tax, Treasury and Investor Relations.

Mr. Koci joined Cleveland Cliffs in February 2019 from Metals USA Inc., where he served most recently as its Senior Vice President and Chief Financial Officer. Prior to that role, he served as Metals USA’s Senior Vice President, Business Development from 2006 to 2013, where he was responsible for mergers and acquisitions in addition to capital investments, forecasting, and budgeting. He also held the roles of Vice President, Corporate Controller from 2004 to 2005; Director of Budgeting from 2003 to 2004; and Regional Controller of the Flat Rolled Group from 1998 to 2003. Mr. Koci played a key role in the implementation of Sarbanes Oxley requirements at Metals USA.

Mr. Koci graduated from the University of Illinois – Chicago with a Bachelor of Science in Business Administration. He has been a Certified Public Accountant since 1986.

Maurice Harapiak , , , Executive Vice President, Human Resources and Chief Administration Officer

Maurice Harapiak is Executive Vice President, Human Resources & Chief Administration Officer. Mr. Harapiak has executive responsibility for Human Resources, IT, Communications, Environment, Safety, Government and Public Affairs functions. In 2014, Mr. Harapiak joined the Company and assumed the position of Executive Vice President, Human Resources at that time. He is responsible for overseeing Cliffs’ human resources function, including talent acquisition and development, organizational development, labor relations, compensation and benefits functions, ensuring their alignment with the Company’s business strategy. He has over 25 years of human resources experience in the project and operating environments of large, multi-national mining companies.

Prior to joining Cliffs, Mr. Harapiak worked at Barrick Gold Corporation, most recently overseeing 7,000 international employees in the Company’s largest region as Regional Director, HR – North America. During his tenure with Barrick, he provided HR leadership for capital and exploration projects, as well as work as a member of acquisition and integration teams.

Mr. Harapiak was also President of Del Mar HR Consulting Ltd, specializing in the support of mining and construction sector clients operating in North America and internationally, and served in operational and human resources management roles for Anglo American and Echo Bay Mines Ltd. He received his bachelor’s degree in public administration/business from the University of Saskatchewan.

James Graham , , , Executive Vice President, Chief Legal Officer & Secretary

James Graham is Executive Vice President, Chief Legal Officer & Secretary of Cleveland-Cliffs Inc. He is responsible for ensuring coordinated legal services and counsel for the Company, and overseeing public reporting requirements and administration of Cliffs’ code of business conduct and ethics compliance program. He also provides direct corporate secretarial support and legal advice to the Board of Directors and its Committees. Currently, Mr. Graham is the President of the Cleveland-Cliffs Foundation.

Since joining Cliffs in 2007 as Assistant General Counsel, Mr. Graham has served in various senior management positions within the Company’s legal department. He was promoted to Vice President, General Counsel – Global Operations in 2012 and oversaw and directed legal services for the Company’s existing operations and its development projects. He has held the role of Chief Legal Officer of the Company since 2013 and was promoted to Executive Vice President in 2014. Before his tenure with Cliffs, Mr. Graham worked as an associate with the law firm of Calfee Halter & Griswold LLP where he practiced corporate finance and international commercial law. Prior to joining Calfee, he was corporate counsel at Elsag Bailey Process Automation.

Mr. Graham earned his J.D. degree from Case Western Reserve University, his M.A. in French Literature from the University of Michigan, and his B.A. degree in English and French from Hiram College. He is a member of the Hiram College Board of Trustees, and was the recipient of the college’s Alumni Lifetime Achievement Award in 2018. In 2015, Mr. Graham was admitted to the Society of Benchers at CWRU School of Law in recognition of his outstanding contribution to the profession of law and to the welfare of the Law School. Mr. Graham serves as Chair of the Advisory Board of the Foreign Graduate LL.M. Program, and on the Executive Committee for the Canada-United States Law Institute at CWRU School of Law. He is also the Vice President of the Greater Cleveland International Lawyers Group since 2008 and a Cabinet Member for the Legal Aid Society of Cleveland’s capital campaign. He serves on several non-profit boards including the Playhouse Square Foundation, the American Red Cross – Greater Cleveland Chapter, and Verb Ballets. Mr. Graham is active in fundraising for numerous arts and cultural institutions in the Cleveland area.

Terry Fedor , , , Executive Vice President and Chief Operating Officer -- Steel Mills

As Executive Vice President and Chief Operating Officer - Steel Mills, Mr. Fedor has executive oversight for Cleveland-Cliffs' wholly-owned AK Steel operations and the metallics segment’s HBI plant operation. He was previously Executive Vice President – Operations for Cleveland-Cliffs, maintaining leadership oversight for Mining and Pelletizing operations, as well as transportation and logistics functions, supply chain and asset management.

He has over 25 years of experience in industrial operations, having served as Vice President and General Manager – Cleveland at ArcelorMittal with responsibility for Warren, Weirton and Monessen steel operations.

Mr. Fedor earned a bachelor’s degree in mechanical engineering from the University of Akron in Akron, Ohio and a master’s degree in business administration from John Carroll University in Cleveland, Ohio. He is a Registered Professional Engineer with the state of Ohio, and previously served as a President of the Board of Directors for the Association for Iron & Steel Technology.

Traci Forrester , , , Executive Vice President, Business Development

Traci Forrester is Executive Vice President, Business Development. She is responsible for developing new and existing opportunities in support of Cliffs’ business. She also has executive oversight of commercial sales of Cliffs’ products, including strategic customer alignment for sales and transportation of iron ore in North America

Previously, Ms. Forrester was Vice President, Deputy General Counsel & Assistant Secretary, in charge of the execution of strategic transactions and corporate governance matters, compliance with securities laws and financial reporting. She also coordinated legal services and counsel for the company. Since joining Cliffs in 2004 as Corporate Attorney, Ms. Forrester has served in various senior management positions within the Company’s legal department. She became Group Counsel, Asia Pacific Operations in 2011, and oversaw and directed legal services for that business unit in Australia. She also held the role of Assistant General Counsel, Corporate Affairs & International Operations. Before her tenure with Cliffs, Ms. Forrester held an in-house legal counsel position at ABB Inc., a multinational industrial process automation company, as a senior attorney.

Ms. Forrester earned her J.D. degree from Case Western Reserve University, and her B.A. in Philosophy from Miami University. She is a board member of the Cleveland Play House.

Brian Bishop , , , Senior Vice President, Commercial

As Senior Vice President, Commercial for Cleveland-Cliffs, Mr. Bishop is responsible for flat rolled and tubular steel sales at the Company’s wholly-owned subsidiary, AK Steel.

Prior to his most current appointment, Mr. Bishop was Vice President, Steel Operations, with responsibilities for all flat rolled steelmaking facilities. He has held several other senior management positions within AK Steel since joining the Company in 1995. He served as General Manager for AK Steel's Mansfield, Middletown and Dearborn Works before being named Director, Carbon Steel Operations in 2015 and Vice President, Carbon Steel Operations in 2016, when he assumed responsibility for manufacturing planning. In 2019, he also assumed responsibility for the Company’s information technology activities.

Mr. Bishop holds a Bachelor of Science degree in Metallurgical Engineering from Michigan Technological University, and an MBA from The Ohio State University. He is a member of the Executive Committee of the Association for Iron & Steel Technology, and has served as a United Way volunteer.

Celso Goncalves , , , Senior Vice President of Finance & Treasurer

Celso Goncalves is Senior Vice President of Finance & Treasurer. Mr. Goncalves leads the consolidated treasury departments of Cleveland-Cliffs and AK Steel, responsible for managing the combined company’s cash, liquidity, and capital structure. He also supports key strategic corporate and business development initiatives by evaluating and executing M&A transactions and capital investments. Mr. Goncalves participates in various investor relations activities by presenting at industry conferences and interfacing with debt and equity investors. He also serves as the company’s primary contact with lenders, advisors, and credit rating agencies. Mr. Goncalves is a member of the Investment Committee that oversees the company’s pension portfolio and 401(k) contribution plans.

Prior to joining Cleveland-Cliffs, Mr. Goncalves worked in the Industrials Investment Banking group at Deutsche Bank in New York, executing capital markets and strategic advisory transactions for corporate and private equity clients globally. Before Deutsche Bank, he worked in the Leveraged Finance group at Jefferies in New York, structuring and executing High Yield and Leveraged Loan transactions. Mr. Goncalves was also one of the founding members of the Latin America Investment Banking group at Jefferies, based in New York and São Paulo, Brazil.

Mr. Goncalves earned his Master of Business Administration (M.B.A.) from the Tepper School of Business at Carnegie Mellon University and his Bachelor of Science (B.S.) from the Marshall School of Business at the University of Southern California. He has also passed the FINRA Securities Industry Essentials Exam, FINRA Series 79 Investment Banking Representative Exam, and FINRA Series 63 Uniform Securities Agent State Law Exam. Mr. Goncalves is a Certified Treasury Professional (C.T.P.) by the Association of Financial Professionals.

R. Christopher Cebula , , , Senior Vice President – Chief Administration Officer – Steel Mills

As Senior Vice President – Chief Administration Officer – Steel Mills, Mr. Cebula has executive oversight for the operational accounting, procurement, transportation, outside processing and credit/receivables functions for Cleveland-Cliffs’ wholly-owned subsidiary, AK Steel.

Before his most recent appointment, Mr. Cebula was Vice President – Corporate Controller & Chief Accounting Officer, with responsibility for accounting, internal/external reporting, operations finance, FP&A and finance systems. Since joining Cleveland-Cliffs in 2010, he has also led the Company’s risk management and financial planning & analysis functions. Prior to his tenure at Cleveland-Cliffs, he held leadership positions at Protiviti Inc., where he provided risk management and internal audit consulting services to clients, and OfficeMax Inc., where he led the financial planning & analysis function. Mr. Cebula started his career in the financial audit practice at Arthur Andersen LLP.

Mr. Cebula received his Bachelor of Arts Degree from Baldwin-Wallace College. He has been a Certified Public Accountant since 1993.

Wendell Carter , , , Senior Vice President, Flat-Rolled Steel Operations

Mr. Carter has senior management oversight for the Company’s flat-rolled carbon steel operations throughout the United States. In his role, he is responsible for managing Cleveland-Cliffs’ five integrated steel plants; two finishing operations; a tin plate plant; and the Company’s new direct reduction plant.

Mr. Carter has over 37 years of broad operational management, corporate strategy and quality experience in the iron and steel industry. Prior to his present role, he was for nearly a decade the general manager of the largest integrated steel mill in North America at Indiana Harbor in Lake County, Indiana. During his tenure, Mr. Carter oversaw the day-to-day administrative and operational functions, and successfully led efforts to right size the operation’s annual production capacity. In his previous roles, Mr. Carter held general management positions and oversaw operations at New Carlisle, a continuous cold-rolling and galvanizing plant; Riverdale compact strip mill; and the Minorca iron ore mine.

Mr. Carter is a past president of the Association for Iron and Steel Technology (AIST) and an active member of the organization. He is an Honorary member of the American Institute of Mining, Metallurgical, and Petroleum Engineers (AIME) and a recipient of the JE Johnson Award. He serves on the Indiana Chamber of Commerce Board and is a past board member of the Indiana Manufactures Association. Mr. Carter earned a Master of Business Administration from Indiana University Northwest and a Bachelor of Science in Metallurgical Engineering from Iowa State University.
